Terms of Service

1. The OMMU Service & Scope

OMMU provides AI-driven review management, operational auditing, and real-time shift intelligence. We aggregate data and identify patterns to deliver management directives. Operational Boundaries: We provide software, not physical management. You remain solely responsible for your daily business operations, staff conduct, food safety, and regulatory compliance.

2. Acceptable Use Policy

You agree not to use OMMU to generate, publish, or distribute content that is illegal, defamatory, harassing, or in violation of any connected platform’s terms of service. OMMU reserves the right to suspend or terminate your account without refund if your use violates these rules, compromises our APIs, or damages our reputation.

3. AI Responses and Brand Management

OMMU uses advanced AI to generate responses based on your configured Brand Voice. You are the “Editor-in-Chief” and are fully responsible for final content published to third-party platforms. AI is probabilistic; OMMU is not liable for reputational damage or claims arising from AI-generated text. We recommend regularly auditing automated responses.

4. Risk Alerts and Informational Disclaimers

OMMU flags potential liabilities (e.g. dietary substitutions, safety hazards) as operational alerts. These are not legal or medical advice. OMMU’s failure to flag an issue does not absolve you of liability, nor does a flagged issue guarantee legal risk. You are solely responsible for mitigating risks within your venues.

5. Third-Party Integrations

OMMU relies on APIs from third parties (e.g. Google, Telegram). We use commercially reasonable efforts to maintain these connections, but are not liable for degraded functionality resulting from third-party rule changes, restricted API access, or downtime.

6. Fees, Payment, Refunds & Suspension

Subscriptions are billed monthly or annually with no setup fee; annual plans are billed at a 15% discount. Subscriptions auto-renew; you may cancel anytime, effective at the end of the current billing cycle. Subscription fees already paid are non-refundable due to immediate allocation of server resources, API provisioning, and onboarding labor. Initiating a chargeback for a valid charge is a material breach and will result in immediate suspension. A 7-day grace period applies to failed payments; overdue balances may incur 1.5%/month interest (or the maximum permitted by law).

7. Data Protection (PDPA Compliance)

For Singapore’s PDPA, the Customer is the Data Controller and OMMU is the Data Intermediary. You warrant you have obtained all necessary consents to share guest data. OMMU processes personal data solely to provide the Services with reasonable security arrangements and will not sell your raw customer data.

8. Intellectual Property

You retain ownership of your operational data and customer reviews. OMMU retains all rights to its software, algorithms, AI frameworks, and UI/UX. You grant OMMU a perpetual, royalty-free right to anonymize and aggregate data to improve the Services. Feedback you provide may be used without obligation or attribution.

9. Disclaimer of Warranties

The OMMU platform is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, OMMU disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and does not guarantee uninterrupted or error-free service.

10. Indemnification

You agree to indemnify and hold harmless OMMU and its directors, employees, and agents from third-party claims arising from your breach of these Terms, content published through your account, or your violation of third-party rights or data-privacy laws.

11. Limitation of Liability

OMMU’s total aggregate liability is limited to the total amount paid by you in the three (3) months preceding the incident. OMMU is not liable for indirect, incidental, punitive, or consequential damages, including lost profits, lost revenue, or brand damage.

12. General Provisions

These Terms are governed by the laws of the Republic of Singapore, with exclusive jurisdiction in its courts. OMMU may update these Terms with notice; continued use constitutes acceptance. OMMU is not liable for delays caused by events outside its reasonable control. If any provision is unenforceable, the remainder remains in effect.
